Terms & Conditions

Please read these Terms and Conditions carefully before using ZapSplit. By accessing or using our service, you agree to be bound by these terms. If you do not agree, do not use ZapSplit.

1. Acceptance of Terms

By creating an account, connecting a wallet, or using any feature of ZapSplit, you agree to these Terms and Conditions, our Privacy Policy, and our Terms of Use. These agreements constitute a legally binding contract between you and ZapSplit.

We reserve the right to modify these terms at any time. Changes take effect immediately upon posting. Your continued use of the platform constitutes acceptance.

2. Description of Service

ZapSplit is a decentralized bill-splitting application that enables users to:

  • Create groups and track shared expenses
  • Send and receive payment claim links
  • Execute private on-chain transfers using Tongo/STRK20 on Starknet
  • Earn yield on unclaimed funds via Starknet staking

ZapSplit is currently in mainnet beta. Features may change, be discontinued, or behave unexpectedly. Do not use ZapSplit with funds you cannot afford to lose during this period.

3. Eligibility

  • You must be at least 18 years old to use ZapSplit.
  • You must not be a resident of a jurisdiction where use of cryptocurrency services is prohibited.
  • You must not be on any government sanctions list (OFAC, EU, UN, etc.).
  • You must have the legal capacity to enter into binding agreements in your jurisdiction.

By using ZapSplit, you represent and warrant that you meet all of the above eligibility requirements.

4. User Accounts and Wallets

ZapSplit uses Privy to manage authentication and embedded Starknet wallets. By creating an account:

  • You agree to Privy's terms of service and privacy policy
  • You understand your private key is managed by Privy's secure enclave — ZapSplit never has access to it
  • You are solely responsible for maintaining access to your login credentials (email, Google account, etc.)
  • You accept that if you lose access to your authentication method, ZapSplit cannot recover your wallet

5. Financial Risks

Cryptocurrency and blockchain-based services carry significant risks. You acknowledge and accept that:

  • Volatility: STRK, ETH, and other tokens may change in value rapidly.
  • Smart contract risk: Bugs in Tongo, Starknet contracts, or Starkzap SDK could result in loss of funds.
  • Staking risk: Staking rewards are not guaranteed. Validators may be slashed or fail.
  • Real funds: Transactions occur on Starknet mainnet and involve real STRK/USDC with real monetary value. Only use funds you can afford to lose.
  • No insurance: Funds on ZapSplit are not insured by any government agency (FDIC, SIPC, etc.).
  • Irreversibility: Blockchain transactions are irreversible. ZapSplit cannot undo or reverse confirmed transactions.

6. Prohibited Activities

You agree not to use ZapSplit to:

  • Launder money or engage in any form of financial crime
  • Evade taxes or circumvent AML/KYC regulations
  • Fund illegal activities or terrorism
  • Harass, defraud, or deceive other users
  • Exploit bugs or vulnerabilities in the platform (report them to us instead)
  • Conduct automated or bot-driven transactions without our consent
  • Resell or commercialize ZapSplit services without written permission

Violation of these prohibitions may result in immediate account termination and reporting to relevant authorities.

7. Intellectual Property

ZapSplit and its original content, features, and functionality are owned by ZapSplit and protected by international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works of our platform without express written permission.

The ZapSplit name, logo, and brand are trademarks of ZapSplit. Use of our trademarks without prior written consent is prohibited.

8. Third-Party Services

ZapSplit integrates with third-party services including Privy, AVNU, Tongo, and Starknet infrastructure providers. We are not responsible for the availability, security, or terms of these services. Your use of third-party services is governed by their respective terms and policies.

9. Limitation of Liability

To the maximum extent permitted by applicable law, ZapSplit and its founders, developers, and contributors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of funds due to smart contract bugs or exploits
  • Loss of funds due to incorrect claim link sharing
  • Service downtime or unavailability
  • Third-party service failures (Privy, AVNU, Starknet RPC outages)
  • Any loss resulting from your failure to secure your authentication credentials

ZapSplit's total liability to you for any cause shall not exceed $100 USD or the equivalent value in STRK.

10. Disclaimer of Warranties

ZapSplit is provided "as is" and "as available" without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ZapSplit is incorporated, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration rather than in court, except where prohibited by law.

12. Termination

We reserve the right to terminate or suspend your access to ZapSplit at any time, without notice, for conduct that we determine violates these Terms or is otherwise harmful to ZapSplit, other users, or third parties.
